By subscribing to any membership tier (Bronze, Silver, Gold, or Platinum Custom) with eRhine LLC ("we," "our," "us"), you ("Member," "you," "your") agree to these Terms and Conditions, our Privacy Policy, and any other terms applicable to the services you subscribe to. Please read these terms carefully. If you do not agree, do not proceed with the subscription.

2. Membership Overview:

Each membership tier provides different benefits and services. The specifics of each tier, including limitations and access, are outlined on our website. We reserve the right to modify, suspend, or discontinue any membership tier, benefits, or services at any time without notice.

3. Membership Fees and Payment:

• Billing: Subscription fees are billed on an annual (or monthly for custom drafted memberships) basis based on the chosen plan.

• Auto-renewal: All subscriptions automatically renew at the end of the subscription period unless canceled.

• Pricing Changes: We reserve the right to change subscription prices. Members will receive prior notice of any price changes.

• Refund Policy: All fees are non-refundable. No refunds will be provided for partial periods or unused services. Refunds are not issued in cases where the Member fails to utilize the benefits.

• Cancellation: Members may cancel their subscription at any time. The cancellation will take effect at the end of the current billing period.

• Termination: eRhine LLC reserves the right to terminate any membership if a Member violates these Terms and Conditions.

Each membership tier grants specific services and support levels. Any services outside the scope of your chosen membership tier may incur additional fees. eRhine LLC reserves the right to determine the scope of each membership tier, which is subject to change without prior notice.

6. Service Availability and Downtime:

• Service Guarantee: eRhine LLC makes every effort to provide continuous and uninterrupted access to services. However, we cannot guarantee the availability of services at all times.

• Downtime and Maintenance: We may occasionally perform maintenance or upgrades, during which some services may be temporarily unavailable. We are not liable for any downtime or interruptions in services, including for scheduled maintenance or unforeseen outages.

7. Limitation of Liability:

• No Warranties: All services are provided "as-is" without any warranties, express or implied. We make no guarantees regarding the accuracy, completeness, or suitability of services provided under any membership tier.

• Limitation of Liability: To the fullest extent permissible by law, eRhine LLC is not liable for any indirect, incidental, punitive, or consequential damages arising from the use or inability to use our services.

• Exclusive Remedy: Your sole and exclusive remedy for any dissatisfaction with our services is to cancel your membership.

You agree to indemnify, defend, and hold harmless eRhine LLC, its employees, agents, and affiliates from and against any claims, damages, losses, or expenses arising out of your use of the services, violation of these Terms and Conditions, or infringement of any rights of a third party.

9. Intellectual Property

• All materials, content, and services provided by eRhine LLC, including website content, are the property of eRhine LLC. No part of the materials may be reproduced, distributed, or used for commercial purposes without prior written permission.

• Membership does not transfer any rights to the intellectual property owned by eRhine LLC.
